This Get Control Clinic Website (“Website”) is maintained and hosted by CORE Health Communications Inc. (“CORE”), a third-party service provider to AstraZeneca Canada Inc., with its head office located at 1004 Middlegate Road, Suite 5000, Mississauga, Ontario, L4Y 1M4 (“AstraZeneca”).

This Website is intended for select AstraZeneca employees, and healthcare professionals and their administrative staff only (“Authorized Users”, “you” or “your”). If you are not an Authorized User, please do not access or use the Website.

These Website terms of use (the “Terms of Use”) set out the terms on which Authorized Users may access and use the Website. Please read these Terms of Use carefully. By accessing or using this Website, you accept without limitation or qualification, these Terms of Use. If you do not agree with any of the terms, you may not access or use this Website.

No information or statement contained herein shall be construed to confer any license or right under any patent, copyright, trademark, moral right, or other intellectual property right (whether or not registered) of AstraZeneca, its affiliates, or any third party acting for or on behalf of AstraZeneca.

1. WEBSITE PURPOSE

The Website provides a platform through which Authorized Users can: (i) register patients who have a diagnosis of asthma or COPD and are experiencing symptoms for a Get Control Clinic run by a Certified Respiratory Educator (CRE) or Respiratory Therapist (RT); (ii) schedule Get control Clinics where patients can be assessed with respect to their disease control and receive education and counselling on disease management; and (iii) exchange patient information with their physician (“Website Purpose”).

2. ACCOUNT AND PASSWORD

To access and use the Website, you need to create an Account, by entering your access code and generating a username and password. Only Authorized Users who have been provided with an access code will be able to create an account on the Website. If you are an Authorized User and are having trouble creating an Account or accessing the Website, you can notify the Site Administrator by emailing GetControl1@astrazeneca.com. AstraZeneca and CORE reserve the right to suspend or terminate your Account, and delete all your HCP Information, at any time should you violate any provision of these Terms of Use.

3. WEBSITE CONTENT

Our Information.

AstraZeneca provides this Website for lawful purposes only. Any information that AstraZeneca, CORE, or any of their service providers, makes available on or through this Website (“Our Information”) is for informational purposes only, and any use of or reliance on that information is at your sole risk. Neither AstraZeneca, CORE, nor any of their affiliates, employees, agents, or service providers, provide any representations or warranties either express or implied, that Our Information is accurate or free of error(s) of any kind. Our Information is not guaranteed to be complete, correct, timely, current, or up-to-date and may be changed, updated, or altered without notice. AstraZeneca does not undertake any obligation to update Our Information.

You agree to use, copy, and share Our Information only as necessary to facilitate the Website Purpose and you will not otherwise modify, copy, transmit, display, perform, reproduce, license, publish, distribute, assign, sublicense, sell, create a derivative work from or make other use of Our Information.

HCP Information.

The Website is to be used by Authorized Users to schedule patients for a Get Control Clinic. During the Get Control Clinic event, the CRE/RT will assess diagnosed asthmatic or COPD patients on their disease control, providing education on disease management, counsel on proper inhaler techniques and perform spirometry if needed. The CREs/RTs will create a report of the assessments and education provided to the patient at the clinic and share it with the referring healthcare professional through the Website. All information uploaded or exchanged through the Website by healthcare professionals (including CREs/RTs) and their administrative staff (“HCP Information”) remains under the control of the referring healthcare professional. Neither AstraZeneca nor CORE have access to, or responsibility for, HCP Information.

Each healthcare professional is responsible for the HCP Information entered into the Website whether entered by the professional or their administrative staff and will ensure all HCP Information entered is proper and does not violate any other terms and conditions of (i) your employment, (ii) this Terms of Use, and (iii) any applicable law, statute, ordinance or regulation.

You will ensure that your activities on the Website will not create liability for or cause AstraZeneca, its affiliates, employees, agents, or its third-party service providers to lose (in whole or in part) the services of its internet service provider(s) or other suppliers. You also will not modify or alter any part of the Website, including, without limitation, by providing a link directly or indirectly to any other site from the Website or modifying or altering any material on the Website.

You will not use the Website in any manner that could damage, disable, overburden, or impair the Website or any network associated with the Website or interfere with any other party’s use or enjoyment of the Website. You will not attempt to gain unauthorized access of the Website, any computer system or network connected to or affiliated with the Website through hacking, password mining or any other means. You may not attempt to obtain any materials or information through any means not intentionally made available through the Website.

Monitoring

The use of the Website is monitored by AstraZeneca and/or its third-party service provider, CORE.

4. Compliance with Privacy Laws and Regulations

For the purposes of this Section 4, “you” or “your” refers to the Authorized User who is (or is acting on behalf of) a healthcare professional.

You acknowledge and agree that you are solely responsible for ensuring that your use of the Website and sharing of HCP Information on or through the Website are in compliance with all applicable privacy laws and regulations. Without limiting the foregoing, where required by applicable privacy laws, you are responsible for obtaining consent from the applicable patient (or where the patient is a minor, their parent or guardian, as appropriate) for the collection, use and sharing of their personal information on or through this Website.

You acknowledge and agree that neither AstraZeneca nor CORE is in control of or accountable for your HCP Information and that you are solely responsible for any liability arising out of non-compliance with applicable privacy laws and regulations arising from your use of the Website.

AstraZeneca makes no warranty or guarantee that your HCP Information will be available on the Website for your subsequent use. You agree not to use the Website as a system of record. You agree to download any HCP Information into your own medical or other record keeping system promptly.

Any Adverse Events must be submitted via AstraZeneca’s AE Reporting Site, and not on this Website.

5. INTELLECTUAL PROPERTY.

Reservation of Intellectual Property Rights

AstraZeneca’s third-party service provider reserves all their respective intellectual property rights on the Website. The underlying network, software, business methods and technologies supporting the Website (but not including the AstraZeneca Website content) belong to CORE, with all rights reserved.

Copyright

The content, organization, graphics, design, compilation, magnetic translation, digital conversion and all other matters related to the Website, including, without limitation, the “look and feel” of the Website, are protected under applicable copyrights and other proprietary and intellectual property rights and are the property of AstraZeneca or its third-party service provider, or other third parties, as applicable, or their respective affiliates, officers, directors, consultants, employees, agents, partners, promoters, co-branders, licensors, suppliers, sponsors (collectively, the “Affiliates”). You do not have the right to use, copy, distribute, display, publish, transmit or create derivative works of any content or material on the Website, except as expressly granted in this Terms of Use and its accompanying Privacy Notice and any professional services agreement you enter into with AstraZeneca.

Trademarks

AstraZeneca is a proprietary service mark and trade name belonging to the AstraZeneca Group of Companies. All other service marks, trademarks, and/or trade names belong to their rightful owners or their Affiliates or other third parties. The copying, redistribution, use or publication by you of any such marks is strictly prohibited without our express consent.

6. REPRESENTATIONS AND WARRANTIES.

You represent and warrant that you (a) are an Authorized User and (b) will use the Website in accordance with the terms herein and will comply with your obligations in this Terms of Use, all applicable professional and ethical standards and requirements and all applicable laws and regulations.

7. WAIVER AND RELEASE FROM LIABILITY.

Under no circumstances, as a result of your use of the AstraZeneca Website, will AstraZeneca, its Affiliates or its third-party service provider be liable to you or to any other person for any direct, indirect, special, incidental, exemplary, consequential or other damages under any legal theory, including, without limitation, tort or contract, under a strict liability, negligence and/or medical malpractice claim or otherwise, even if advised of the possibility of such damages.

8. DISCLAIMER OF ALL WARRANTIES.

The Information made available on this Website is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including, without limitation, warranties of title, non-infringement, and implied warranties of merchantability or fitness for a particular purpose. Without limiting the generality of the foregoing, neither AstraZeneca nor its service providers make any warranty, representation, or guaranty as to the content, sequence, accuracy, timeliness, or completeness of Our Information, that Our Information may be relied upon for any reason or that Our Information will be uninterrupted or error free or that any defects can or will be corrected.

9. INDEMNIFICATION.

You will indemnify, defend, and hold harmless AstraZeneca and its third-party Service Provider and their Affiliates from and against any claims, actions or demands, liabilities and settlements including, without limitation, reasonable legal, attorney and accounting fees, resulting from, or alleged to result from:

a. your violation of any of the terms in this Terms of Use or a breach of any of your representations or warranties under this Terms of Use;

b. any activity related to your use of this Website by you or any other person accessing the Website using your account;

c. a violation of the intellectual property rights of any third parties;

d. content submitted, posted, transmitted, or made available through your use or connection to the Website; and

e. any violation of any law, including, without limitation, violation of laws related to confidentiality of patient health information, or any misconduct in connection with the use of the Website, including, without limitation, your misrepresentations and willful misconduct.

10. MISCELLANEOUS.

Governing Law; Jurisdiction

These terms shall be governed by the laws of Ontario and the applicable laws of Canada. You agree to be bound by such laws and to submit to the non-exclusive jurisdiction of the courts of Ontario, Canada, in connection with the interpretation or application of these terms and conditions.

Modification

AstraZeneca may, in its sole and absolute discretion, modify the terms and conditions of this Terms of Use in whole or in part at any time for any reason without any notice to you. Continued access of this AstraZeneca Get Control Website by you constitutes acceptance of any changes or revisions to our Terms of Use.
